1. ACCEPTANCE OF TERMS

1.1. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Participant”) and the New Zealand Indian Central Association (“NZICA”) regarding your use of and submission to the Central Talent and Skills Register (the “Register”). 1.2. By executing the submission form and utilizing the Register, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms and the associated Privacy Policy.

2. REPRESENTATIONS AND WARRANTIES

2.1. Participant Warranties- By submitting data to the Register, you represent and warrant that-

  • You are legally capable of entering into binding contracts and are residing in or legally associated with New Zealand;
  • All submitted information is current, truthful, and materially accurate;
  • Your submission does not infringe upon the intellectual property rights, confidentiality obligations, or privacy rights of any third party (including current or former employers).
    2.2. Continuing Obligation- You bear a continuing professional accountability to promptly notify NZICA of any material alterations to your submitted profile.

3. DISCLAIMER OF GUARANTEES

3.1. No Fiduciary or Agency Relationship- The Register is an introductory and facilitation mechanism only. Nothing in these Terms shall be construed as creating an employer-employee, agency, partnership, or fiduciary relationship between the Participant and NZICA.

3.2. No Assurance of Placement- NZICA provides the Register on an "as is" and "as available" basis. NZICA makes no representations, warranties, or guarantees—express or implied—that participation will result in employment, career advancement, successful mentorship, or any specific outcome.

4. LIMITATION OF LIABILITY

4.1. Exclusion of Indirect Damages- To the maximum extent permitted by applicable New Zealand law, in no event shall NZICA, its executive board, officers, employees, or authorized volunteers be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of the Register.

4.2. Total Liability- NZICA’s total aggregate liability for any claims arising out of or related to the Register, whether in contract, tort (including negligence), or otherwise, shall be expressly limited to the correction or removal of the Participant’s data from the Register.

5. INDEMNIFICATION

5.1. The Participant agrees to indemnify, defend, and hold harmless NZICA and its respective officers and volunteers from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with-

  • The Participant's breach of these Terms;
  • The Participant's gross negligence or willful misconduct; or
  • Any misrepresentation or falsification of data submitted by the Participant.

6. TERMINATION AND SUSPENSION

6.1. Right of Refusal- NZICA reserves the absolute right, at its sole discretion and without prior notice, to reject any submission, suspend access, or permanently remove any Participant from the Register if it determines that the Participant has violated these Terms, compromised the integrity of the Register, or engaged in conduct detrimental to NZICA or the community.

7. MISCELLANEOUS PROVISIONS

7.1. Governing Law and Jurisdiction- These Terms shall be governed by and construed in accordance with the laws of New Zealand. The parties irrevocably submit to the exclusive jurisdiction of the courts of New Zealand for the resolution of any disputes.

7.2. Severability- If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

7.3. Entire Agreement- These Terms, together with the Privacy Policy, constitute the entire agreement between the Participant and NZICA pertaining to the subject matter hereof, superseding all prior or contemporaneous communications, representations, or agreements.

7.4. Amendments- NZICA reserves the right to amend these Terms at its discretion. Material amendments will be communicated to Participants. Continued participation in the Register following such notice constitutes formal acceptance of the revised Terms.
